| Условия оплаты: | Payment under this Agreement / Supplementary Agreement is made by bank transfer to the settlement account of the Contractor, within 60 (sixty) calendar days from the date of receipt by the Customer of the invoice, which the Contractor issues after signing by both Parties of the Acceptance Certificate of the work performed, unless otherwise expressly specified in Additional agreement concluded on the basis of this Agreement. |
| Условия поставки: | At the request of the Customer, the Contractor assumes obligations to perform a set of works and / or provide services for the design and construction of the Customer's Facility - a fiber-optic communication line (hereinafter - "FOCL"): transmission lines, physical circuits and line-cable structures (hereinafter - "LKS") communication) (hereinafter - "Object", "Objects", "FOCL"). In turn, the Customer undertakes to accept the result of duly performed work and / or services provided and pay for them.
In accordance with the Contract, the Contractor will perform the following main works / services (not limited to the above):
a) Preliminary survey of the territory and selection of the route of the Object, including preparation and approval of the Act of selection of the route of the Object in accordance with the terms of reference (hereinafter referred to as the "TOR") with the Customer;
b) Obtaining on behalf of the Customer the permits, approvals, conclusions and technical specifications (hereinafter referred to as "TU") of supervisory, coordinating and other bodies and organizations, necessary in accordance with the current legislation of the Russian Federation (taking into account the regulatory legal acts of the constituent entities of the Russian Federation and local authorities), and also the owners / authorized owners of communications and any other objects for the placement / laying of fiber-optic cable (hereinafter - "FOC") in the telephone duct, on the supports of overhead power lines (hereinafter - "VL") and on any other objects, to enter the FOC in existing and newly constructed buildings and structures, as well as for the design and construction of the Facility; in the case of excavation for the placement of fiber-optic communication lines on and (or) below the land (forest) plots, work on the suspension of the fiber-optic cable on supports and pipe stands, work on the placement of the fiber-optic cable in the telephone sewer, on the overhead line, at any other objects - perform all necessary actions, aimed at concluding lease / use / easement agreements with the owners / legal owners of buildings, premises, land (forest) plots, structures, supports, telephone sewers, overhead lines or other objects used to accommodate FOCs (hereinafter referred to as the "Locations"), including , but not limited to, negotiating with the owners / legal owners of Locations, organizing the signing of contracts, ensuring state registration of contracts / emerging encumbrances, if necessary in accordance with the current legislation (hereinafter - "Lease Agreements", "Easement Agreements", "Accommodation Agreements FOCL ").
c) Execution of design and survey works
d) Construction and repair and restoration work carried out in accordance with the technical conditions set out in the working and design documentation; installation, measuring, commissioning, work to eliminate defects; installation, installation of telecommunication equipment;
e) Purchase, delivery to the place of work and storage at construction sites of materials and equipment (hereinafter referred to as Materials) necessary for the implementation of construction and installation works in accordance with the project documentation;
f) Execution of as-built documentation, carrying out a set of measurements and registration of measurement protocols for cable communication lines;
g) Conducting an executive geodetic survey: preparation of a technical report, a catalog of coordinates and topographic plans at a scale of 1: 2000 and 1: 500 along the entire length of the constructed fiber-optic communication line;
h) Registration of other documentation necessary for the performance of construction and installation works;
i) In the event of the creation of a capital construction facility (LCS, other facilities) - obtaining in the name of the Customer all permits and other documents required by law for the construction and commissioning of the Facility, incl. in accordance with Articles 51, 55 of the Town Planning Code of the Russian Federation, notification of supervisory authorities (including state construction supervision authorities) and interested organizations about construction and installation works, as well as drawing up a technical plan, a cadastral passport and a certificate of state registration ownership rights to the LKS of the Object in the name of the Customer;
j) Establishing the boundaries of the security zone and accounting for information about the security zone of the Object in the State Property Committee (State Real Estate Cadastre), including the preparation of a document specified by the legislation of the Russian Federation containing a textual and graphic description of the location of the boundaries of the security zone, as well as a list of coordinates of characteristic points of the boundaries of the security zone in the coordinate system established for maintaining the state cadastre of real estate objects, obtaining an act of the authorized body on the establishment of the protected zone of the Object and approving its boundaries, ensuring that information about the protected zone of the Object is entered into the State Property Committee in the amount and in the manner prescribed by Art. 10 of the Federal Law of 24.07.2007, No. 221-FZ "On the State Real Estate Cadastre", paragraphs 4 and 17 of the Rules for sending by state authorities and local authorities the documents necessary for entering information into the state real estate cadastre, to the federal body executive power, authorized in the field of state registration of rights to real estate and transactions with it, cadastral registration and maintenance of the state cadastre of real estate, as well as on the requirements for the format of such documents in electronic form, approved by the Decree of the Government of the Russian Federation of 03.02.2014 No. 71, clause 14 of the Procedure for maintaining the state cadastre of real estate, approved by Order of the Ministry of Economic Development of the Russian Federation dated 04.02.2010, No. 42, with the receipt of supporting documents (extracts from the State Property Committee on land plots / zone with special conditions for the use of the territory (security zone), certificates, other);
k) Other works / services required for the creation of the Customer's Object.
Works are performed (services are provided) on the basis of Additional Agreements concluded in the form of Appendix No. 1 to this Agreement. An integral part of the Supplementary Agreement is the Terms of Reference (TOR), drawn up in the form of Appendix No. 3 to this Agreement. Additional agreements define the names, volumes, cost, start and end dates of works (services).
The scope of work / services performed for the construction of a specific Facility and the contractual prices for them are determined by the relevant Supplementary Agreement to this Agreement. Prices for works / services performed by the Contractor are determined by the "Tariff and Price Indicators" (TPI). Prices of works / services specified in the Supplementary Agreements, but not reflected in the TPP, are determined on the basis of estimates separately agreed by the Parties for a specific case.
Acceptance of completed works / services or their part is carried out in accordance with the current legislation of the Russian Federation.
Based on the results of the acceptance of the Facility, subject to the performance of the Works / provision of services in accordance with this Agreement, project documentation, the current legislation of the Russian Federation, and the provision of the documentation provided for by this Agreement to the Customer, an Acceptance Certificate of the work performed / services provided under the Agreement is signed (in the form of Appendix No. 7), with the execution of Acts in the form No. KS-2, No. KS-3, No. KS-11.
The moment of transfer of ownership of the result of the work to the Customer is determined by the date of signing by both Parties of the Acceptance Certificate of the work performed / services rendered under the Agreement. |
