| Условия оплаты: | Payment under this Agreement/Additional Agreement shall be made in non-cash order to the Contractor's account within 60 (sixty) calendar days from the date of receipt by the Customer of the invoic, which the Contractor shall issue after the signing of the Act of Receiving and Acceptance by both Parties, unless otherwise expressly specified in the Supplementary Agreement concluded pursuant to this Contract . |
| Условия поставки: | At the request of the Customer, the Contractor assumes obligations to perform a set of works and/or provide services for the design and construction of the Customer's Object - a fiber-optic communication line ( hereinafter — "VOLS"): transmission lines, physical circuits and linear-cable constructions (hereinafter — "LKS") of communication (hereinafter — "Object", "Objects", "VOLS"). In turn, the Customer undertakes to accept the result of the proper works and/or services rendered and pay for them.
Under the Treaty, the Contractor will perform the following basic works/services (not limited to those):
a) Preliminary survey of the territory and selection of the route of the object, including preparation and coordination with the Customer of the Act of selection of the route of the object in accordance with the technical order (hereinafter referred to as "TZ");
b) Receiving on behalf of the Customer necessary in accordance with the current legislation of the Russian Federation (taking into account the normative legal acts of subjects of the Russian Federation and local governments) permits, approvals, approvals, $ conclusions and technical conditions (hereinafter referred to as "TU") of supervisory, coordinating and other bodies and organizations, as well as owners/authorized owners of communications and any other objects on placement/laying of fiber-optic cable (hereinafter referred to as "VOK") in the telephone sewerage, on the supports of overhead power lines (hereinafter referred to as "VL") and on any other objects, on entry WAC into existing and newly constructed buildings and structures, as well as for the design and construction of the Facility; in the case of excavation for the placement of WOLS on and/or below land (forest) sections, works on suspension of the WIC on supports and pipe racks, works on placement of the WIC in telephone sewerage, on the VL, on any other objects — execution of all necessary actions aimed at conclusion lease/use/easement agreements with owners/legal owners of buildings, premises, land (forest) plots, structures, supports, telephone sewerage, VL or other objects used for the placement of the WCC (hereinafter referred to as "Places of Accommodation"), including, but not limited to, negotiations with the owners/rightful owners of the Place of Accommodation, arranging the signing of contracts, $ ensuring the state registration of contracts/arising encumbrances, if necessary in accordance with the current legislation (hereinafter referred to as "Lease Agreements", "Easement Contracts", "WOLS Placement Contracts").
c) Performing design and survey works
d) Construction and repair and restoration work carried out in accordance with the specifications set out in the working and design documentation; installation, measurement, commissioning, $ works to eliminate defects; installation, installation of telecommunication equipment;
e) Purchase, delivery to the place of production of works and storage on construction sites of materials and equipment (hereinafter referred to as Materials) necessary for construction and installation works in accordance with the project documentation; $
f) Execution of executive documentation, carrying out a set of measurements and registration of measurement protocols on cable communication lines;
g) Conducting executive surveying: preparation of technical report, catalogue of coordinates and topographic plans of scale 1:2000 and 1:500 along the length of the constructed WOLS track;
h) Decoration of other necessary documentation for the execution of construction and installation works;
i) In case of creation of an object of capital construction (LCS, other objects) - receipt in the name of the Customer of all permits and other documents required under the legislation for construction and entry into the operation of the facility, including in the order of Art. 51, 55 of the Urban Code of the Russian Federation, notification of supervisory bodies (including state construction supervision bodies) and interested organizations about construction and installation works, as well as technical plan, cadastral passport and certificate of state registration of ownership of the LCS of the facility in the name of the Customer;
j) Establishing the boundaries of the protection zone and taking into account information about the security zone of the Site in the State Property Cadastre, including the preparation of a document defined by the legislation of the Russian Federation containing text and graphic description of the location of the boundaries of the guard zone, as well as a list of coordinates of characteristic points of the guard zone boundaries in the coordinate system established for the conduct of the state cadastre of real estate objects, receipt of the act of the authorized body on establishment of the protection zone of the Object and approval of its borders, provision of information about the protection zone of the Object in the amount of and the procedure established by Art. 10 of the Federal Law of July 24, 2007 № 221-FZ "On the State Real Estate Cadastre", paragraph 4 and paragraph 17 of the Rules of Direction by State Authorities and Bodies local government documents necessary for the submission of information to the state real estate cadastre, to the federal executive body authorized in the field of state registration rights and transactions with immovable property, cadastral records and the maintenance of the state real estate cadastre, as well as the requirements for the format of such documents in electronic form approved by By the Resolution of the Government of the Russian Federation No. 71 of 03.02.2014, item 14 of the Procedure for maintaining the state real estate cadastre approved by the Order of the Ministry of Economic Development of the Russian Federation No. 42 of 04.02.2010, with receipt of supporting documents (extracts from the GKN about the land/zone with special conditions of use of the territory (protection zone), certificates, etc.);
k) Other works/services necessary for the creation of the Customer's Object.
Works are performed (services are provided) on the basis of Additional Agreements concluded in the form of Appendix No. 1 to this Agreement. An integral part of the Supplementary Agreement is the Technical Specification (TK) issued in the form of Annex No. 3 to this Agreement. Additional agreements determine the names, volumes, costs, dates of start and end of works (services).
The amount of work/services carried out for the construction of a particular Object and the contractual prices for them shall be determined by the relevant Supplementary Agreement to this Agreement. The prices of the Contractor's work/services are determined by "Tariff Price Indicators" (TCPs), the work/service prices specified in the Supplementary Agreements but not reflected in the TPP are determined by based on estimates separately agreed by the Parties for a case - by - case basis.$
Acceptance of works/services performed or part thereof is carried out in accordance with the current legislation of the Russian Federation.
Based on the results of the acceptance of the Object, subject to the performance of the Works/provision of services in accordance with this Agreement, the project documentation, the current legislation of the Russian Federation, and the provision of The Customer of the documentation provided by this Agreement shall be signed by the Act of delivery and acceptance of the performed works/rendered services under the Agreement (in the form of Annex No. 7), with the registration of Acts in the form No. KS-2, No. KS-3, NO. KS-11.
The moment of transfer of ownership to the result of performance of works to the Customer is determined by the date of signing by both Parties the Act of delivery and acceptance of performed works/rendered services under the Agreement. |
